Lender Representation

Cordray & Schneller has represented lenders, borrowers, and guarantors in all aspects of financing.  We have extensive experience in drafting and negotiating all types of loan related instruments including collateral agency agreements, inter-creditor agreements, letters of credit, promissory notes, deeds of trust, environmental indemnity agreements, security agreements, subordination agreements, guaranties, opinion letters and a wide variety of other loan related agreements and documents.  We have assisted lenders and borrowers in negotiating and drafting instruments in which the lender receives a security interest or lien against the following properties of a borrower:  real estate, accounts, inventory and equipment, intellectual property, mineral interests, and several other types of property.  With respect to our real estate financing work, we have represented lenders and borrowers in connection with construction loans, mortgage financing, HUD financing relating to the following types of projects:  retail developments including strip centers, regional centers, and malls, office buildings, industrial facilities, hotels, multi-family housing including subsidized apartments, single-family housing, health care facilities, golf courses, and car dealerships.  Our lender clients include banks, real estate investment trusts, lender corporations and limited partnerships, publicly traded mortgage finance corporations, local government entities, and individuals.  Our borrower clients include partnerships, public and private business entities, individuals, and others engaged in real estate acquisition and development and business acquisitions and mergers.  We regularly serve as Texas counsel for multi-state real estate lending transactions and issue opinions as to the enforceability of lending documentation under Texas and federal law.
