We offer a great deal of experience with corporate governance; the formation of, and consultation relating to, partnerships, corporations, limited liability companies, joint ventures, and other business entities; private placement syndications; and business finance transactions.

Our attorneys assist clients with general corporate planning, structuring issues, and transactional matters on an ongoing basis. We assist clients with the formation, management, and dissolution of corporations, joint ventures, limited liability companies, and partnerships. We also have a significant amount of experience with private placement syndications. We further advise clients in the subsequent capitalization and financing required by these entities.

Additionally, we counsel and advise our clients through the negotiation, drafting, and interpretation of business agreements, and through the planning, documentation, and closing of difficult and sophisticated transactions. Our services include the negotiation and drafting of employment and consulting agreements, buy-sell and other ownership agreements, commercial leases, licensing agreements, and resolution of issues related to director and officer liability.

Corporate governance involves a set of relationships between a company’s management, its board, its shareholders, and other stakeholders, and the requirements regarding these relationships as required by law. We help our clients develop practices and procedures to comply with their obligations, such as the fiduciary responsibilities of directors and officers, financial reporting, management succession, mergers and acquisitions, and divestitures.

We represent clients in various capital market and business entity finance transactions. Cordray & Schneller is experienced in negotiating, documenting, and closing complex business finance transactions. We have assisted clients in finance transactions involving working capital credit facilities, project financing, capital equipment leases, and letters of credit. In addition, we counsel a broad range of commercial real estate clients such as developers, investors, and lenders. As a result, we have significant experience in the financing of properties, such as apartment projects, condominiums, shopping centers, office buildings, and industrial properties.

We have also assisted clients with regard to various federal and state securities laws, including, private placement of securities, syndications, securitizations, and venture transactions.

We also have experience in all negotiated and non-negotiated acquisition methods, including mergers, joint ventures, partnerships, and leveraged acquisitions. We represent sellers, purchasers, targets, and financial advisors in connection with a wide range of transactions, including mergers, joint ventures, strategic alliances, divestitures, and asset and stock purchases.
